Association Bylaws

Dane County Beekeepers Association Organization and Bylaws honey bee

I. The name of this organization shall be the Dane County Beekeepers Association. Object of the Association shall be: promotion of improved beekeeping practices for commercial and hobby enterprises; improved marketing of apiary products; and the formation of a cooperating concern among beekeepers in Dane County, Wisconsin.

This is a non-profit educational organization.

II. Membership – The membership of this Association shall consist of individuals paying annual membership dues as established in accordance with the By-Laws of the Association.

III. Association Officers –
Section 1 – The officers of this Association shall be: president, president elect, secretary, and treasurer.

Section 2 – Officers shall be elected at the annual meeting to serve for one year, or until their successors are duly elected and qualified.

Section 3 – Election shall be determined by the majority of all votes cast in an annual meeting balloting or voting procedure.

Section 4 – Officers shall be members of the Association in good standing.

IV. Executive Committee –
Section 1 – The officers and other members as appointed by the committee shall constitute the executive committee.

Section 2 – The executive committee shall be the governing body and shall represent the members in actions and decisions required between regularly scheduled or special meetings of the members.

Section 3 – Members of the executive committee shall be members of the Association in good standing.

Section 4 – Regular meetings shall be held as specified in the By-Laws.

V. Duties of officers – Section 1 – The president shall preside at all meetings of the organization and at all meetings of the executive committee.

Section 2 – It shall be the duty of the president elect to perform the duties of the president in his absence or at the request of the president.

Section 3 – Duties of the secretary shall be: keep the minutes of all meetings of the Association and the sessions of the executive committee; have charge of and maintain records of all minutes, papers and documents of the Association; perform such other duties as required pertaining to correspondence and records of the Association;

Section 4 – Duties of the treasurer to collect the annual dues from members and deposit with Association finances after properly recording the transactions; shall pay out such funds as are approved by the Association or by the executive committee. Such person shall keep complete and accurate records of all monies received and expended. It shall be standard procedure to present a financial report at each regularly held meeting of the Association.

VI. Meetings – Section 1 – Annual meetings shall be held at such time as stated in the By-Laws. Notice of such meeting will be provided to all members by mailing a notice at least seven days prior to the annual meeting. Nominations for any office may be made by any member at the annual meeting.

Section 2 – Meetings of the executive committee shall be called by the president or at the request of two members of the executive committee. Prior notice of the meeting shall include the purpose thereof.

Section 3 – Special meetings of the Association may be called by the president with the approval of the executive committee; any such meeting requires at least seven days advance notice to members.

VII. Quorum

Section 1 – A quorum for the transaction of business at a regular or the annual meeting shall be as defined by the By-Laws.

Section 2 – Three members of the executive committee shall constitute a quorum to transact business of that committee.

VIII. Amendments –
This constitution may be amended at any of the meetings of the Association following consideration by at least two monthly meeting approvals, held consecutively, and with a two-thirds vote in support of the action at each such meetings, provided that a quorum is present. Notice of such proposed change shall be provided in writing to the members prior to each of the monthly meetings when the official voting is to be accomplished for such change.

Other rules of conduct for the Association business will be contained the By-Laws which may be amended in accordance with their content.

By-Laws of Dane County Beekeepers Association
Dane County, Wisconsin, Madison

1. Membership dues – $4.00 per person; one-half year membership is $2.00. Dues will apply from January 1 thru December 31. Dues can be waved by commensurate service to the Association. No fees are currently being assessed.

2. Annual meeting will be the regular February meeting.

3. Officer nomination at the regular meeting prior to the February meeting,

4. Terms of officers commence – immediately upon election. Election will take place after the nominations and prior to the Annual meeting.

5. Nominating and replacement of officers; Officers resigning or unable to serve may be replaced by election at the next called meeting.

6. Quorum – Fifteen members shall constitute a quorum for meetings of the Association.

7. Regular meetings will be scheduled once a month.

8. These By-Laws may be amended at any meeting of the Association by two-thirds vote, a quorum being present. Notice of the proposed revision shall be made in writing in the notice of the meeting to be given 7 days prior to such meeting.
